TERMS AND CONDITIONS

The following Terms and Conditions governs your use of services, products, features, apps, technologies, software offered by MONEY SEEDS LLC through the website www.money-seeds.com and the mobile app Money Seeds (hereinafter indicated as “Services”).

1) PARTIES

MONEY SEEDS LLC, a company incorporated in Delaware – United States of America, registered with file number 6674397, whose registered office is in Delaware, 16192 Coastal Highway, Lewes, Delaware 19958, County of Sussex, State of Delaware, United States of America who also trade as MONEY SEEDS that mainly provides marketing and advertising services (hereinafter indicated as “Company” or “We” or “Us”).

USER or SEEDER is a person or entity registered as that buy the marketing services provided by the Company and or a person or entity registered as user in the website www.money-seeds.com and or in the mobile app Money Seeds (hereinafter indicated as “User” or “Seeder” or “You”).

2) PLATFORM REGISTRATION

2.1. You can create an Account through the Site / Application by following the instructions provided. With this Account you can contract the Services and publish Ads more quickly, but you can also provide a review / rating to other Users with whom you have purchased the list or with whom you have joined. inscribed in the list.

2.2. Account creation is done by registering in the "Account / Account Creation" section the following identification data, which must be provided: name, surname, e-mail address, full address, country of residence. Optionally, you can provide some additional information, if you wish, according to the sections in the registration form MS01 here attached.

2.3. Account Creation allows you to interact with other Users who have an Account, allowing you to post comments about accessed lists. Comments can be viewed both by Users who choose to create an Account and by those who view Ads without an account.

2.4. The amount of the registration fee is denominated in USD or in USD and is indicated on the website www.money-seeds.com and in the Money Seeds mobile application.

2.5. Through the User Account you can access and rectify some of the data provided. Account deletion can be requested in writing by e-mail to contact@money-seeds.com.

3) MARKETING SERVICES

We welcome users to register on our digital platform. We offer the below mentioned marketing affiliation services to the registered users which may be subject to change in the future. All changes will be appended in the terms and conditions page and communicated to existing users by email.

- Marketing Affiliation Service

This service, offered only to registered users, allows them to be part of the lists of existing users in the application and thus have the opportunity to purchase the services enrolling in the existing user lists in the application taking advantage to the exponential leverage of the network.

All information received by us from your registration on www,money-seeds.com or other digital products of Money Seeds will be used by the company in accordance with our Privacy Policy.

4) PROVISION OF THE SERVICES

The services are provided by the Company with the procedures indicated in this article 4 of the Terms and Conditions.

1) Free Account Registration.
2) Payment of the registration fee of 15 USD (fifteen USD) for entry on a list (NEST) with other users (SEEDERS).
3) Each list (NEST) consists of only 10 users (SEEDERS). The app automatically allocates targets 1 USD out of 15 USD for each of the 10 seeders that will have evidence on the related account balances. The difference of 1.5 USD is the commission charged by the application from each user upon registration.
4) The new USER enter in the list (NEST) becoming the number 10 and list will be reconfigured as below:
- • The one who was on position 10 climbs to position 9
- • The one who was on position 9 climbs to position 8
- • The one who was on position 8 climbs to position 7
- • The one who was on position 7 climbs to position 6
- • The one who was on position 6 climbs to position 5
- • The one who was on position 5 climbs to position 4
- • The one who was on position 4 climbs to position 3
- • The one who was on position 3 climbs to position 2
- • The one who was on position 2 climbs to position 1
- • The one who was initially on position 1 leaves the list (NEST)
5) Limitation of users. Each user can only invite 4 potential users to join the list (NEST). These 4 users can also invite 4 users each.

5) PAYMENTS, ACCOUNTS AND WITHDRAWALS

1) Payment of the registration fees shall be performed via third party provides.

2) Allocation of amounts related to the entering of other users following the procedures regulated by art. 4 will have evidence in the platform on the “Account Balance” of each user.

3) Any User may withdraw the amount from his account at any time, less the amount of 15 USD (fifteen USD) paid for the registration.

7) DURATION OF THE CONTRACT

Unless agreed otherwise with us the contract for the services is for 12-months time an undefinite period of time starting from the date of the first purchase on the Website or on the App.

8) TERMINATION OF THE CONTRACT

The Company reserves the right to terminate the provision of the services without communication of the reasons. In this case the amounts presents in the account balance will be refunded to the user with the same payment method.

9) ACCESS TO THE WEBSITE AND CONTENT

The company operates via the Website and the Mobile App. When the customer use the Website hosted at www.money-seeds.com agrees to be bound by and to comply with these Terms and Conditions. The same applies to The – Money Seeds App.

The information provided on the Website and App is not in any way a recommendation to buy any products or services featured and the Client should seek, if necessary, appropriate independent advice before taking, or refraining from, any action on the basis of the content on the Website and/or the Mobile App.

The Company reserves the right to change, modify, substitute or remove without notice all or any part of the Website or App, or any information on the Website and App, from time to time at company’s discretion.

As a User of Money Seeds you agree that you find the terms, conditions and notices contained herein or otherwise posted, to be acceptable. If, at any point, you disapprove or disagree of any of the site’s content or policies and/or find any of these offensive in any way, we strongly suggest to discontinue the use this Website and/or Mobile App.

MONEY SEEDS LLC may decide at their sole discretion to modify these Terms & Conditions at any time. You will be informed about eventual changes through publication on the Website or with any other mean the Company should decide to use. In case of disagreement with changes you can refer to behavior under fourth paragraph of this clause.

The Company continually improves the service to the Users, so specifications, fees or design changes may be made to the Website and/or App at any time.

The Company shall use reasonable commercial endeavours to keep the Website and App up to date, but information and specifications given are for information only and are subject to change without notice.

The company will endeavour to allow uninterrupted access to the Website and App, but access may be suspended, restricted or terminated at any time. Use of the Website and App is subject to these terms and conditions and the Website and App User Terms.

10) ACCOUNT SUSPENSION OR TERMINATION

If we determine that you have clearly, seriously or repeatedly breached our Terms, we may suspend or permanently disable access to your account. We may also suspend or disable your account if you infringe other people’s intellectual property rights; if your content is offensive; or where we are required to do so for legal reasons.

These actions are taken at sole discretion of the Company. However we may allow you to request a review.

If You delete or We disable your account, these Terms shall terminate as an agreement between You and Us. In such cases you will not have right to get refund for amount paid.

11) INDEMNITY

The User will fully indemnify the Company for any costs, expenses, fines, damages or loss whether directly or indirectly arising (and including without limitation, economic loss) suffered arising out of the customer alleged or proven failure to observe any of the terms of this agreement.

12) COMPLIANCE WITH LAW

The operation and controlling of MONEY SEEDS LLC is based in Wilmington Delaware – United States of America. Any Client is responsible for compliance with all applicable laws and regulations that may govern the access and use of the Web site www.money-seeds.com and the App.

13) GOVERNING LAW

This Agreement is construed in accordance with and governed by the laws of Unites States of America that is also the jurisdiction in case of any dispute related to the use of the website and app and to the services provided.

14) SEVERABILITY

The clauses and paragraphs contained in this Agreement are intended to be read and construed independently of each other. If any term, covenant, condition or provision of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, it is the parties' intent that such provision be reduced in scope by the court only to the extent deemed necessary by that court to render the provision reasonable and enforceable and the remainder of the provisions of this Agreement will in no way be affected, impaired or invalidated as a result.

This Agreement (together with our Privacy Policy) sets out the entire agreement and understanding between the Parties and supersedes all prior agreements, understandings or arrangements (whether oral or written) in respect of the subject matter of the Terms and Conditions that the Company may revise always updating it on the website www.money-seeds.com.

15) LIABILITY

The Company shall not be liable to the User in connection with this Agreement in contract, tort, breach of statutory duty or otherwise for any anticipated or actual loss of: revenue, profit, turnover, goodwill, sales, business, business opportunity, savings or data or for any other indirect or consequential loss.

The Company aggregate liability to you in connection with this Agreement shall not exceed the Registration Fee paid by the Users..

Except as expressly stated in this Agreement, the Company do not give any representation, warranties or undertakings in relation to the Services. Any representation, condition or warranty which might be implied or incorporated into this Agreement by statute, common law or otherwise is excluded to the fullest extent permitted by law.

16) STATUTORY RIGHTS

These terms and conditions do not affect the statutory rights (if appropriate) as a consumer.

17) MAJOR FORCE

The Company shall not be liable to You or in breach of this Agreement for delay or failure to perform if the delay or failure results from a cause beyond our reasonable control. If we have to contact you or give you notice in writing, we may do so by email or by post to the address(es) (or any of them) you provide to us in your registration.

18) TRANSFER OF THE AGREEMENT

The Company may transfer the rights and obligations under this Agreement to another organization. The Client may transfer the rights or and the obligations under this Agreement to another person after Company written agreement.

19) COMPLAINTS

In case of claim the Client shall notify a complaint in written using the following email address: complaints@money-seeds.com

The Parties shall fully cooperate and shall procure that any third party supplier shall cooperate with and assist the Parties in investigating and resolving the Claim. Such cooperation may include, but shall not be limited to, the provision of employee witnesses, documents, photographs, records and statements for use by the Parties unless the data are protected by statutory laws or third parties privacy issues.

20) INTELLECTUAL PROPERTY RIGHTS

All trademarks and copyright relating to databases and other intellectual property rights on the Happy Crew HC ltd Website and Mobile App and source code, are owned directly by the Company. The website contains links to other websites operated by third parties. Please note that our Privacy Policy applies only to the personal information that we collect through this website and cannot be responsible for, and do not accept any liability in relation to, personal information that third parties may collect, store and use through their website.

21) SPECIFIC TERMS TO THE APP

The Company reserves the right to modify the platform or to charge a different amount for its usage in the future.

It is possible that your mobile operator may charge you to access the network connection for the duration of the connection whilst you navigate in the platform and the App online. You accept responsibility for such fees.

The Company will make every reasonable effort to ensure that the platform is available at any time. However, you acknowledge that some factors beyond the reasonable control of The Company can affect the quality and availability of the platform.

The Company will not be responsible for support or access to the platform. The Company accepts no liability for the unavailability of the platform or any difficulty or inability to download or access content, and therefore will not be liable for paying any compensation in this event.

The Company may terminate access to the platform at any time and without prior notice.

22) CHANGES TO THE POLICY

The Company may change this policy from time to time as new services or features may be added or in response to changes in the law or the commercial arrangements with third parties.

Any changes to this policy will be posted on the website www.money-seeds.com

23) GENERAL

If any provision of these terms and conditions is held to be unlawful, invalid or unenforceable, that provision shall be deemed severed and the validity and enforceability of the remaining provisions of these terms and conditions shall not be affected.

We may modify these terms and conditions at any time by publishing the modified terms and conditions on the Website. The terms and conditions as modified will be binding on all users of the Website from the time of publication on the Website.

23) ANNEXES

This Agreement may include the annexes MS01 and/or MS002, which, in the case, are integral and essential part of the Agreement itself.
